  • PLEASE TAKE NOTICE, that in accordance with applicable provisions of the Uniform Commercial Code as enacted in New York, by virtue of certain Event(s) of Default under that certain Pledge and Security Agreement dated as of October 18, 2021 (the “Pledge Agreement”), executed and delivered by Darvako Group LLC, Alko Group Prime LLC and Royal West Prime LLC (collectively the “Pledgor”), and in accordance with it rights as holder of the security, RL Plaza CPW MZ LLC (the “Secured Party”), by virtue of possession of that certain Share Certificate held in accordance with Article 8 of the Uniform Commercial Code of the State of New York (the “Code”) and by virtue of those certain UCC-1 Filing Statement made in favor of Secured Party, all in accordance with Article 9 of the Code, Secured Party will offer for sale, at public auction, (i) all of Pledgor’s right, title, and membership interest in and to the following: Alko Group LLC a/k/a Alko Group DE, LLC, Royal West Properties LLC and Alvak Group, L.L.C. (collectively the “Pledged Entity”), and (ii) certain related rights and property relating to the Pledged Entity thereto (collectively, (i) and (ii) are the “Collateral”). Secured Party’s understanding is that the principal asset of the Pledgor is membership interest in Alko Group LLC a/k/a Alko Group DE, LLC, Royal West Properties LLC and Alvak Group, L.L.C. and the principal asset of those entitles are 15 Central Park West, Units PH40A, 6K and S606, New York, New York 10023 Block 1114 and Lot 1461, 1311 and 1320) and 768 5th Avenue, Units 1007-1009, New York, New York 10019 aka 1 Central Park South, Units 1007-1009, New York, New York 10019 (Block 1274 and Lots 1526-1528).
  • Maltz Auctions (“Maltz”), under the direction of Richard B. Maltz or David A. Constantino  (the “Auctioneer”), will conduct a public sale consisting of the Collateral (as set forth in Schedule A below), via virtual bidding, on October 18, 2024 at 12:00 NOON (Originally Scheduled for September 25th), in satisfaction of an indebtedness in the approximate amount of $4,200,000.00, including principal plus interest, and reasonable fees and costs, plus default interest through October 18, 2024, subject to open charges and all additional costs, fees and disbursements permitted by law.  The Secured Party reserves the right to credit bid.
  • Subject to a First Mortgage with a Principal Balance of Approximately $37,800,000

Bidder Qualification Deadline: Thursday, October 17, 2024 by 4:00 PM.  Executed Terms & Conditions of Sale along with a deposit in the amount of $460,000.00 via wire transfer are required for consideration by any interested party.
